Proposed Rule Changes:
Amendment 1: Delete Rule 51, so that the committee can appoint the reviewing accountant. The reviewing accountant appointed at the AGM may not be available in a year’s time, or it may be more convenient to engage someone else at the time.
51. THE reviewing accountant(s) shall be appointed at the Annual General meeting. Reserved.
Amendment 2: Subscriptions: -
The first part of the amendment clarifies that the total amount collected from all member clubs can include savings for future capital spending and can consider the likely surplus from operations in the coming year.
The second part allows for clubs with bases at Matamata to pay a higher share of MSC costs per member than clubs that are not resident at the airfield. This reflects the greater access and more frequent use of MSC facilities by resident clubs.
Suggested amendment:
5. SUBSCRIPTIONS: The subscription shall be fixed by the Association by way of levy on all members. The Committee shall, as soon as practicable after the first day of April in each year, make an estimate of the amount of its likely expenditure up to and including the thirty-first day of March of the following year, both by way of capital and other expenditure and including any amount required to meet such expenditure, taking into account the amount, if any, carried forward from the previous year by way of excess of income over expenditure, the need to accumulate funds for future capital spending and likely income in the following year. Subject to the approval of the Association at its General Meeting next following, or at an Extraordinary meeting convened for that purpose the amount so required shall then be levied and recoverable as the annual subscription from each member in the proportion that the number of shares attributable to each member bears to the total number of shares. For the purposes of this rule there shall be deemed to be attributed to each non-resident Club one share in respect of each member thereof (not counting member without flying or voting rights according to the rules of such Club). Any club that maintains a hangar or keeps one or more aircraft at Matamata for more than 6 months, is deemed a resident Club and will be attributed FOUR shares for the purpose of calculating annual subscriptions.
Note that the original remit attributed THREE shares for the purpose of calculating annual subscriptions. The MSC committee is now recommending that this be changed to FOUR
Amendment 3: AGM timing. In past years we have struggled to complete preparations for the AGM in the specified time – propose to give us another month.
8. A GENERAL Meeting shall be held once in every calendar year at such time and place as may be determined by the Committee provided that every General Meeting, except the first, shall be held not more than two three months following the end of the financial year which ends on the thirty-first day in March in each year.
Amendment 4: Clarify that notices sent by email are deemed to be served when they are transmitted.

d. Any notice, if served by email, shall be deemed to have been served immediately on transmission, and in proving such service it shall be sufficient to prove that the email containing the notice was properly addressed to the member and sent.
